1. Introduction

Welcome to americansupplyclub.com (the “Site”). These Terms and Conditions (“Terms”) govern your use of the Site and services provided by Project Trifecta LLC, doing business as American Supply (“American Supply,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not use the Site.

These Terms should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal information, and complies with applicable U.S. privacy laws, including the California Consumer Privacy Act (CCPA). Our operations are based in Florida, and we comply with all applicable federal and state laws.

2. Eligibility

To purchase tobacco, cigars, cigarillos, nicotine-containing items, smoking accessories or any other age-restricted products from our Site, you must be at least 21 years old. All lighters, and torch lighters are treated as age-restricted items and also require age verification (21+) via AgeChecker.Net. Orders for these items will be canceled if verification fails. All other products, including beverages, candy, snacks, groceries, and household items, may be viewed or purchased by users of any age, provided the purchase complies with all applicable federal and state laws.

You agree to provide accurate age and legal information. Failure to do so may result in account suspension, order cancellation, and/or refusal of service. All age-restricted products are subject to age verification at checkout using third-party services such as AgeChecker.net to ensure compliance with legal requirements.

Only customers located in the United States are permitted to create accounts and purchase products from our Site.

3. Account Registration

To access certain features of the Site, you must register for an account. By registering, you agree to:

Provide accurate, current, and complete information during registration, including date of birth and any other information necessary to verify eligibility for age-restricted products.

Product Availability
All products are offered subject to availability. While we strive to maintain accurate inventory, we do not guarantee that any item shown on the Site will be in stock at the time of your order. If a product becomes unavailable after your order is placed, we will notify you and issue a refund to your original payment method for the unavailable item(s). We are not responsible for any damages or losses resulting from delays, cancellations, or unavailability of products.

Payment Methods
We accept credit/debit cards and other payment methods as listed at checkout. Your order is not binding until payment has been authorized and confirmed. We reserve the right to cancel or refuse any order at our sole discretion, including in cases of suspected fraud, noncompliance with these Terms, or age verification failure.

Chargebacks and Refused Payments
By placing an order, you agree not to initiate chargebacks or payment disputes without first contacting us to resolve the issue. Unauthorized chargebacks may result in account suspension, collection action, and/or legal proceedings. You are responsible for any costs, fees, or damages we incur in connection with improper chargebacks or refused payments.

Nicotine Product Warning
All nicotine products sold on this Site include the federally required warning:
“WARNING: This product contains nicotine. Nicotine is an addictive chemical.”
This warning appears on the physical packaging of all nicotine products, even if not displayed in product images online.

Taxes and Compliance
We collect and remit applicable sales tax in accordance with federal and state laws where required. Customers are solely responsible for any additional state, local, or excise taxes, duties, or compliance obligations not collected at checkout. We do not ship or sell products outside the United States. Customers are responsible for verifying the legality of purchasing, possessing, and using restricted products in their jurisdiction.

6. Product Information and Availability

We make reasonable efforts to ensure that all product descriptions, images, prices, and specifications on the Site are accurate. However:

Changes & Updates: Products, packaging, pricing, promotions, and availability are subject to change at any time without prior notice.
Errors: We reserve the right to correct errors, inaccuracies, or omissions, and to update or cancel orders affected by such errors (even after an order has been submitted).
Stock & Substitutions: Availability is not guaranteed. If a product is out of stock, we may cancel the order, issue a refund, or, with your consent, substitute with a comparable item.
No Contractual Rights: Minor discrepancies in product appearance (such as updated branding, labeling, or packaging variations) do not constitute a breach of contract.
Third-Party Information: Some product details (including descriptions, specifications, and images) may be provided by manufacturers, distributors, or other third parties. While we strive for accuracy, we do not guarantee that such information is complete, current, or error-free. All trademarks and brand names remain the property of their respective owners, and American Supply does not claim any affiliation, sponsorship, or endorsement from them.

7. Shipping and Delivery

U.S. Customers Only: We ship only to customers located in the United States.
State-Specific Restrictions: Customers outside Florida must comply with their local laws. Some products, especially tobacco and nicotine items, may be restricted. Orders may be canceled if restrictions apply.
Risk of Loss & Title: Risk of loss and title pass to you upon delivery to the carrier. We are not responsible for lost, delayed, or damaged shipments.
Shipping Restrictions: We comply with federal and state regulations, including the PACT Act. Orders containing restricted products may be canceled if shipping is prohibited. Refunds will be issued for canceled orders.
Adult Signature: All shipments containing tobacco or nicotine products are given option of adult signature (21+) and you will need a valid government-issued ID.

8. Returns and Refunds

All returns and refunds are governed by our Return Policy.

General Products: Items such as groceries, candy, beverages, and household goods may be returned in accordance with the conditions set forth in our Return Policy.

Age-Restricted Products: Items including tobacco, nicotine, cigars, cigarillos, lighters, and other age-restricted products are non-returnable and final sale. We are not responsible for damage, loss, or delays once the products are delivered to the carrier. Refunds or replacements are only offered for orders that were shipped incorrectly (wrong item or quantity).

Return Eligibility: Returns that fall outside the eligible window or do not meet the conditions in our Return Policy may be denied. Customers are responsible for reviewing our Return Policy before initiating a return.

9. Use of the Site

By using the Site, you agree to comply with all applicable federal, state, and local laws. You may not:

Violate any law, regulation, or government requirement.
Interfere with or disrupt the Site, other users’ access, or its operation.

All content on the Site, including text, graphics, images, logos, product photos, videos, designs, software, and trademarks (“Content”), is owned by Project Trifecta LLC (d/b/a American Supply), its licensors, or content providers, and is protected by U.S. and international intellectual property laws.

You may access and use the Site for personal, non-commercial purposes only. No Content may be copied, reproduced, distributed, modified, displayed, or used for any commercial purpose without our prior written consent.

Unauthorized use of the Site or Content may violate copyright, trademark, and other laws and may result in civil and criminal penalties.

11. Limitation of Liability

To the maximum extent permitted by law, Project Trifecta LLC (d/b/a American Supply) and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or business opportunity
Loss of data or content
Personal injury or property damage
Any damages arising from the use of, or inability to use, the Site or products
Third-party content, conduct, or interactions

This limitation applies even if we have been advised of the possibility of such damages.

Important Exceptions:
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the fullest extent allowed by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Project Trifecta LLC (d/b/a American Supply), its affiliates, and their respective officers, directors, employees, agents, suppliers, or licensors (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys’ fees, arising from or related to:

Your violation of these Terms;
Your use of the Site, products, or services in any manner not expressly authorized by these Terms;
Your submission, posting, or transmission of any content or materials on the Site (“User Contributions”);
Any use of information obtained from the Site; or
Any activity by third parties resulting from your actions, negligence, or misconduct.

You acknowledge that the Indemnified Parties are not responsible for any claims, damages, or losses arising from your actions or the actions of third parties in connection with your use of the Site.

13. Governing Law and Jurisdiction

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Florida for the resolution of any disputes arising out of or relating to these Terms or the Site.

Consumer Exception: Notwithstanding the above, if you are a consumer located in a jurisdiction whose laws mandate local legal protections, those laws shall apply to the extent required by law.

All legal actions or proceedings arising under these Terms must be brought exclusively in the courts of Florida, except as limited by the consumer exception above.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the products or services purchased, including disputes regarding the validity, interpretation, or enforceability of these Terms, shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

Location: Arbitration shall be conducted in Florida, unless you reside in a jurisdiction that requires a different location for arbitration under applicable law.
Binding Decision: The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction.
Class Actions Waiver: You agree to resolve disputes individually and not as part of any class, collective, or representative proceeding.

If any portion of this arbitration provision is found to be unenforceable or invalid, that portion shall be severed, and the remaining provisions shall continue in full force and effect.

15. Changes to the Terms

We reserve the right to modify, update, or replace these Terms at any time, at our sole discretion. Changes are effective immediately upon posting the revised Terms on the Site.

Material Changes: If we make material changes that affect your rights or obligations, we will indicate this by updating the “Last Revision” date at the top of this page. Your continued use of the Site after the updated Terms constitutes your acceptance of the changes.
California Users: Users located in California will be provided advance notice of any material changes, where required by law, in accordance with the California Consumer Privacy Act (CCPA) or other applicable regulations.

We strongly encourage all users to review these Terms periodically to stay informed of any changes.

16. Termination

We may terminate or suspend your account and access to the Site, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Site immediately ceases.

User-Initiated Termination: You may terminate your account at any time by discontinuing use of the Site or contacting us at support@americansupplyclub.com.
Effect on Purchases: If your account is terminated due to a breach of these Terms, you will not be entitled to refunds for any prior purchases.

17. Electronic Communications

By using the Site or contacting us via email or other electronic means, you agree to communicate with us electronically. You consent to receive communications from us via email, text, push notifications, or messages on the Site.

You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and American Supply regarding your use of the Site and its services. 19. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect. The invalidity or unenforceability of any provision will not affect the validity or enforceability of the remaining Terms.

20. Waiver

No failure or delay by us in exercising any right or remedy under these Terms shall operate as a waiver of such right or remedy. Any waiver of a term or condition of these Terms must be in writing and signed by us. A waiver of any provision on one occasion will not be construed as a waiver of any other provision or of the same provision on any other occasion.

21. Compliance with Laws

You agree to comply with all applicable federal, state, and local laws and regulations when using the Site and purchasing products. It is your responsibility to ensure that it is legal for you to purchase, possess, and use any products in your jurisdiction. We make no representation or warranty that any products or services offered on the Site are legal, available, or appropriate for use in your location.
